1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Tech Edge Digital Solutions, LLC, a Kentucky limited liability company, operating under the brand name RankEdge SEO ("Company," "we," "us," or "our").

By accessing or using our AI-powered SEO platform, website, applications, and related services (collectively, the "Service"), you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use the Service.

If you are using the Service on behalf of an organization or entity, you represent and warrant that you have the authority to bind that organization to these Terms.

2. Description of Service

RankEdge SEO provides an AI-powered search engine optimization platform that includes:

• Keyword Rank Tracking: Monitoring search engine rankings for specified keywords across Google, Bing, and Yahoo
• Site Auditing: Technical SEO analysis including crawling, on-page optimization checks, and performance metrics
• Backlink Monitoring: Tracking and analyzing inbound links using data from Moz API and other sources
• AI-Powered Recommendations: Artificial intelligence-generated SEO suggestions, content ideas, and optimization strategies
• Google Integration: Connection with Google Search Console and Google Analytics for data import and analysis
• Reporting: PDF reports and white-label reporting for agencies
• AI SEO Assistant: Conversational AI interface for SEO guidance and analysis

3. Account Registration and Security

3.1 Account Creation

To access the Service, you must create an account by providing accurate, current, and complete information. You agree to:

• Provide truthful registration information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

3.2 Account Eligibility

You must be at least 18 years old and have the legal capacity to enter into contracts. By creating an account, you represent that you meet these requirements.

3.3 Account Termination

We reserve the right to suspend or terminate your account at any time for violation of these Terms, suspected fraud, or any conduct we deem harmful to the Service or other users.

4. Subscription Plans and Payment

4.1 Subscription Tiers

We offer multiple subscription plans with varying features, limits, and pricing. Current plan details are available on our pricing page. Features and limits may be updated from time to time.

4.2 Billing and Payment

• Payment Processing: All payments are processed securely through Stripe, Inc. By subscribing, you agree to Stripe's terms of service.
• Billing Cycles: Subscriptions are billed monthly or annually in advance, depending on your selection.
• Automatic Renewal: Subscriptions automatically renew at the end of each billing period unless canceled before the renewal date.
• Price Changes: We may modify pricing with 30 days' notice. Continued use after a price change constitutes acceptance.
• Taxes: Prices do not include applicable taxes, which will be added where required by law.

4.3 Refund Policy

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

• Your subscription remains active until the end of the current billing period
• No partial refunds are provided for unused time (except within the 30-day guarantee)
• Your data will be retained for 30 days after expiration, then deleted

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service only for lawful purposes related to SEO analysis and optimization. You agree to use the Service in compliance with all applicable laws and regulations.

5.2 Prohibited Activities

You agree NOT to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service for any illegal, fraudulent, or malicious purposes
• Attempt to reverse engineer, decompile, or disassemble the Service
• Circumvent usage limits, rate limits, or access restrictions
• Scrape, crawl, or extract data from the Service beyond normal use
• Share, sell, or sublicense your account access to third parties
• Use automated systems (bots, scripts) to access the Service without permission
• Transmit viruses, malware, or other harmful code
• Interfere with or disrupt the Service or its infrastructure
• Harass, abuse, or harm other users or our personnel
• Use the AI features to generate harmful, illegal, or offensive content
• Submit domains or websites you do not own or have authorization to analyze
• Use the Service to engage in black-hat SEO practices that violate search engine terms

6. Third-Party Integrations and Data

6.1 Google Services Integration

Our Service integrates with Google Search Console and Google Analytics. By connecting your Google account, you:

• Authorize us to access and retrieve your Google search and analytics data
• Acknowledge that Google's terms of service apply to such data
• Understand that data accuracy depends on Google's API availability

6.2 Moz Data

We utilize Moz API for domain metrics including Domain Authority, Page Authority, and spam scores. You acknowledge that:

• Moz data is proprietary to Moz, Inc. and subject to their terms
• Moz metrics are estimates and may not reflect exact search engine values
• Data availability depends on Moz API service status

6.3 AI and Machine Learning

Our AI features utilize advanced language models and machine learning algorithms. You acknowledge that:

• AI-generated recommendations are suggestions, not guarantees of ranking improvement
• You are responsible for reviewing and implementing AI suggestions appropriately
• AI outputs may occasionally contain errors or inaccuracies
• We do not guarantee specific SEO results from following AI recommendations

7. Intellectual Property Rights

7.1 Our Intellectual Property

The Service, including all software, algorithms, AI models, designs, graphics, logos, text, and other content created by us, is owned by Tech Edge Digital Solutions, LLC and protected by copyright, trademark, and other intellectual property laws.

We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purpose during your active subscription.

7.2 Your Content

You retain ownership of any content, data, or materials you submit to the Service. By submitting content, you grant us a non-exclusive, worldwide, royalty-free license to use, process, and display such content solely to provide the Service to you.

7.3 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation.

8. Disclaimers

8.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY.

8.2 No Guarantee of Results

We do not guarantee that use of the Service will result in improved search engine rankings, increased traffic, or any specific business outcomes. SEO results depend on numerous factors outside our control, including search engine algorithm changes, competitor actions, and content quality.

8.3 Third-Party Data Accuracy

We do not warrant the accuracy, completeness, or reliability of data from third-party sources (Google, Moz, etc.). Such data is provided for informational purposes and should not be solely relied upon for business decisions.

8.4 AI Limitations

AI-powered features may produce inaccurate, incomplete, or biased results. AI recommendations should be reviewed by qualified professionals before implementation. We are not responsible for any decisions made based on AI outputs.

8.5 Service Availability

We do not guarantee uninterrupted, error-free, or secure access to the Service. We may modify, suspend, or discontinue any aspect of the Service at any time without notice.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• IN NO EVENT SHALL TECH EDGE DIGITAL SOLUTIONS, LLC, ITS MEMBERS, MANAGERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, OR GOODWILL.
• OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.
• SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIABILITY LIMITATIONS. IN SUCH JURISDICTIONS, OUR LIABILITY SHALL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless Tech Edge Digital Solutions, LLC, its members, managers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights
• Your content or data submitted to the Service
• Any negligent or wrongful conduct by you

11. Dispute Resolution

11.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Kentucky, United States, without regard to conflict of law principles.

11.2 Informal Resolution

Before initiating formal proceedings, you agree to contact us at willkevin223@gmail.com to attempt informal resolution of any dispute. We will work in good faith to resolve disputes within 30 days.

11.3 Binding Arbitration

If informal resolution fails, any dispute arising from these Terms or the Service shall be resolved through binding arbitration administered by a mutually agreed arbitrator in Kentucky. The arbitration shall be conducted in English, and the arbitrator's decision shall be final and binding.

11.4 Class Action Waiver

YOU AGREE THAT ANY DISPUTES WILL BE RESOLVED ON AN INDIVIDUAL BASIS AND NOT AS PART OF ANY CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION.

11.5 Exceptions

Either party may seek injunctive relief in court for intellectual property infringement or unauthorized access to the Service.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated effective date. For material changes, we will provide notice via email or prominent notification on the Service.

Continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the changes, you must stop using the Service and cancel your subscription.

13. General Provisions

13.1 Entire Agreement

These Terms, along with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and us regarding the Service.

13.2 Severability

If any provision of these Terms is found unenforceable, the remaining provisions shall remain in full force and effect.

13.3 Waiver

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.

13.4 Assignment

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign these Terms without restriction.

13.5 Force Majeure

We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, or internet/telecommunications failures.
